Terms of Use

1. Acceptance of Terms

These Terms of Use (“Terms”) are a legally binding agreement between you and Individual entrepreneur Aleksandr Nesterov (“we,” “us,” or “our”), registered in Georgia under identification number 322758529, with the legal address Georgia, Adigeni district, Varkhani village, Street 07, House N07.

By accessing or using the Services described below, you agree to these Terms. If you do not agree, do not use the Services.

If you use the Services on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms, and “you” then refers to that organisation.

2. The Services

We provide:

• Document conversion: the server-side service the WordeX app uses to convert documents to EPUB.
• Growth tools: tools for App Store Optimization, Apple Search Ads management, and growth analytics, available only to people we issue an account to.
• This website: information about us and our policies.

Together these are the “Services.” We may change, add, or remove features at any time.

3. Accounts

Accounts for our tools are issued by us; there is no public registration. You are responsible for keeping your credentials confidential and for all activity under your account. Tell us immediately at faktorealchik@gmail.com if you suspect unauthorised use. We may suspend or close an account if we reasonably believe it has been compromised or these Terms have been broken.

4. Your Content

You keep all rights to the documents and other material you submit to the Services (“Your Content”). You give us a limited permission to store, process, and convert Your Content only as needed to provide and support the Services, as described in our Privacy Policy.

You confirm that you have the rights needed to submit Your Content and that converting it does not infringe anyone else’s rights. Keep your own copies of Your Content; we are not responsible for its loss.

5. Intellectual Property

The Services, including their software, design, and content we provide, belong to us or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. These Terms do not give you any right to use our name or marks.

6. Prohibited Uses

You agree not to:

• use the Services for any unlawful purpose or in breach of these Terms;
• submit content that is unlawful, harmful, or infringes the rights of others;
• attempt to gain unauthorised access to the Services, our systems, or other users’ accounts;
• disrupt, overload, or impair the Services, including through automated requests not permitted by us;
• reverse engineer, decompile, or attempt to extract the source code of the Services, except where the law expressly allows it;
• share your account or resell access to the Services.

7. Disclaimer of Warranties

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that conversions and analytics results will be accurate or complete. Review results before relying on them.

8. Limitation of Liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of or inability to use the Services.

Our total liability for all claims relating to the Services is limited to the greater of the amount you paid us for the Services in the twelve months before the claim arose and 50 US dollars.

Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by negligence.

9. Indemnification

You agree to indemnify us against claims, losses, and expenses, including reasonable legal fees, arising from your breach of these Terms, your violation of any law, or Your Content infringing the rights of a third party.

10. Termination

We may suspend or end your access to the Services at any time, with or without notice, including if you break these Terms. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive, including sections 5, 7, 8, and 9.

11. Governing Law

These Terms are governed by the laws of Georgia, without regard to conflict of law rules. Disputes will be resolved by the courts of Georgia. If you are a consumer resident in another country, you keep the protection of the mandatory consumer laws of that country.

12. Severability and Waiver

If any provision of these Terms is found unenforceable, the rest remains in effect, and that provision is limited to the minimum extent needed to make it enforceable. Our failure to enforce a provision is not a waiver of it.

13. Entire Agreement

These Terms and our Privacy Policy are the entire agreement between you and us about the Services.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will change the “Last updated” date above, and for material changes we will make reasonable efforts to give notice, for example on this website. Continuing to use the Services after changes take effect means you accept the updated Terms.
